Reina: Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement (the "Terms") are an agreement between you and us. They cover the Reina desktop application (the "App"), the online services that power its cloud features (the "Services"), and our websites. By installing the App or purchasing a subscription or license, you agree to these Terms.

Plain-language summaries appear in italics at the top of each section. They are for convenience only; the full text governs.


1. Reina is an AI

In short: Reina is software, not a person, and can be wrong.

Reina is an artificial-intelligence application. Everything Reina says is generated by AI models, in the persona you configure. Reina is not a human being, and none of that output is written, reviewed, or endorsed by a human before you see it.

AI output can be inaccurate, incomplete, offensive, or simply made up, even when it sounds confident. You must use your own judgment before relying on anything Reina tells you or acting on those suggestions.

Reina does not provide medical, legal, financial, or other professional advice, and is not a mental-health resource or a substitute for human relationships or professional care. If you are in crisis or thinking about harming yourself or others, stop using the App and contact local emergency services or a crisis line (in the U.S., call or text 988).

2. Who may use Reina

In short: adults only.

You must be at least 18 years old (or the age of majority where you live, if higher) to use the App and Services. By using them you represent that you meet this requirement. We do not knowingly permit minors to use Reina, and we may terminate access where we believe this requirement is not met.

The App is for adults throughout rather than adult in parts: there is no section of it that a minor could use, and no feature that unlocks anything of that kind for anyone (see Section 8).

3. Your license to the App

In short: you get a personal license to run the App on your own devices. Don't share your key, resell it, or tamper with the App's protections.

3.1 Grant. Subject to these Terms and payment of any applicable fees, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable license to install and run the App on devices you own or control, for your own personal use.

3.2 License keys. Paid tiers are activated by a license key issued to you. Your key is for you alone: one person per key. You may not share, publish, sell, rent, or transfer your key. We may revoke a key that is shared, resold, obtained fraudulently, involved in a payment chargeback, or used to abuse the Services (see Section 12).

3.3 Restrictions. Except where applicable law expressly permits it despite this restriction, you may not:

  • copy (other than for reasonable backup), modify, or create derivative works of the App;
  • reverse engineer, decompile, or disassemble the App, or attempt to extract its source code, models, prompts, or embedded keys;
  • circumvent license validation, usage metering, budgets, tier limits, the licensing system, or content or safety gates;
  • extract, redistribute, or reuse the App's art, character designs, voices, or bundled personas outside the App;
  • resell, lease, or provide the App or Services to third parties as a service.

3.4 Updates and modules. The App checks for signed updates and tells you when one is available. Whether it downloads them for you in the background is your choice and is off unless you turn it on; installing always asks first. Updates may add, change, or remove features. If you block updates, parts of the App, particularly cloud features, may stop working. The App's Modules page lists optional extras we publish after release. None is installed unless you choose it there; each download is signed and verified the same way an update is, lands in your own Reina folder, and can be removed from the same page. A module that is a program is installed through the Windows App Installer under that program's own license.

3.5 What stays yours without us. The App is designed so that its local features (avatar, local commands, text-to-speech, and the Persona Studio) run on your machine and do not require our servers. Speech-to-text is local too, once its model has downloaded; before that, and if the model later fails to load, it falls back to an online service, which the Privacy Policy describes in section 1. Cloud features require the Services and an active subscription or BYO configuration.

3.6 What the installer puts on your PC. Everything the App needs installs into your own user folder, and the installer never asks for administrator rights. That includes the copy of Microsoft's Visual C++ runtime that Reina's voice runs on: it ships beside the App under Microsoft's own license, we do not modify it, and removing Reina removes it. Nothing is installed for the whole machine, and the installer shows you these Terms before any of it happens.

4. Free trials

In short: there is no free trial today.

We do not currently offer a free trial. If we offer one in future, its length, its included usage, and any limit on how many a person may start will be described at signup and will form part of these Terms. Until then, the Free tier is the way to use the App without paying: it runs the local features described in Section 3.5, with no cloud usage.

5. Subscriptions, budgets, and billing

In short: you buy from us, and a payment processor takes the card. Paid tiers other than bring-your-own-keys include a monthly usage budget expressed in hours. When it runs out, Reina falls back to local features rather than shutting off.

5.1 Who you buy from. Sovereignty LLC is the seller of record. We sell your subscription or license to you directly, we issue your invoice or receipt, and we account for any sales tax or VAT that applies to the purchase. These Terms govern the sale, and no reseller's terms sit alongside them.

Payment is taken by a payment processor acting for us, identified at checkout and on your receipt. Your card details go to that processor and we never receive your card number; its terms cover only its handling of that payment and do not govern the sale.

5.2 Tiers. Current tiers, prices, and what each includes are described on our pricing page, which is incorporated into these Terms. In summary:

  • Free: local features only; no cloud usage.
  • Standard: a subscription that includes cloud conversation with a usage budget, but not the desktop assistant's ability to act on your computer.
  • Plus / Pro: subscriptions that include cloud features, including the desktop assistant, with a usage budget.
  • Bring-Your-Own-Key (BYO): a monthly license fee for the App and its updates; AI usage runs on API keys you obtain directly from the relevant providers, under your own accounts and at their rates. The one exception is budget you have already paid for: if you switch to this tier with rollover or top-up credit left, requests keep running through our relay until that credit is spent, and only then go direct. You are responsible for managing those provider accounts, their costs, and their terms; our support does not extend to debugging third-party provider accounts.

5.3 Usage budgets. Included budgets meter real underlying usage of the cloud AI providers. When your budget for a period is exhausted, cloud features pause and the App continues with local features ("degrade, not die"). Budgets are calibrated estimates, not guarantees of a specific number of hours; actual mileage varies with how you use the App.

5.4 Rollover. Whatever is left of your monthly included budget when the month ends is added to a rollover balance, and a month you do not use at all rolls over in full. The balance keeps accumulating month after month, up to a maximum of one extra month's allotment; past that it stops growing. Banked budget is kept, not forfeited, if your subscription ends: it stays on your account and becomes available again if you resubscribe with the same email address. Like your included budget, it can only be spent while your subscription is active.

5.5 Top-ups. While your subscription is active you may purchase additional usage as top-up credit; top-ups are not sold to accounts without an active subscription, because the credit could not be spent. Top-up credit is drawn on only after your included budget and any banked rollover for the period are used up. It does not expire and is not reset or forfeited at the end of a billing period. Top-up credit is sold as usage credit for the Services; it is not money, has no cash value, and is non-transferable. Top-up credit can only be spent while your license is active: if your subscription ends, any remaining balance is kept and becomes spendable again if you resubscribe with the same email address, but it cannot be used in the meantime.

5.6 Spending protections. Each tier has a monthly included budget and a daily allowance out of it. When the monthly budget is used up, cloud features pause until the first day of the next calendar month (UTC), unless you have rollover or top-up credit left. The daily allowance applies only to the monthly included budget: rollover and top-up credit are extra, and are not held back by it. When your daily allowance runs out and you do have rollover or top-up credit, the App asks whether you want to keep going on that credit before any of it is spent; if you have none, cloud features simply pause and the App continues with local features. There is no overage billing and no automatic top-up: you cannot be charged more than your subscription price plus any top-up you choose to buy.

5.7 Renewal and cancellation. Subscriptions renew automatically each billing period until canceled. You can cancel at any time via the customer portal linked in the App or your receipt; cancellation takes effect at the end of the current paid period.

5.8 Refunds. If the App does not work as described and we cannot fix it, email support@sovereignty.cc within 14 days of your purchase and we will refund that purchase in full, to the payment method you used.

If we stop. If we discontinue the cloud Services, or drop a paid feature your tier was sold on, we refund the unused part of the period you have already paid for. Top-up credit is different because it does not expire: the notice period in Section 17 is yours to spend it in, and we refund whatever is left when the Services stop. Your license to the App is not affected and is not refunded, because the local features keep working.

Subscriptions can be canceled at any time and you keep access until the end of the period you have already paid for; we do not otherwise refund part of a period. Unused credit top-ups are refundable within 14 days of purchase as long as none of that credit has been spent.

Nothing in this section takes away a statutory right you have as a consumer, including any right of withdrawal under the law of the country you live in.

5.9 Price changes. We may change prices or tier contents prospectively. Changes to a subscription you already have will be announced at least 30 days before they take effect, and will apply from your next renewal.

6. The cloud Services and third-party AI providers

In short: cloud features send your requests to third-party AI providers through our relay. Their terms apply to that processing.

6.1 How it works. Cloud features (chat, the assistant, game commentary, web search) send your requests through our relay service to third-party AI model providers, currently including Anthropic and providers reached via OpenRouter (including Google models). Which model handles which feature may change as we improve the App.

6.2 Provider terms. Your use of cloud features must also comply with the acceptable-use requirements of those providers as applicable to end users. We may adjust models, apply usage limits, or decline requests as needed to comply with provider requirements.

6.3 Availability. We aim to keep the Services reliable, but they are provided without an uptime guarantee. Third-party providers, networks, and platforms can fail or change in ways outside our control. When the Services are unavailable, the App falls back to local features.

6.4 Fair use. Usage budgets are the primary limit, and rate limits protect the Services from abuse and runaway automation. We may throttle or suspend usage patterns that indicate key sharing, resale, automated bulk use, or attempts to bypass metering.

7. Your content and Reina's output

In short: what you make is yours. What Reina says to you is yours to use. You're responsible for what you put in.

7.1 Your content. You keep all rights to the content you create or import, including personas, character cards, and settings made with the Persona Studio, and everything you say to Reina ("Your Content"). We do not claim ownership of it. You grant us only the limited rights needed to operate the Services: i.e., to transmit Your Content to the AI providers you invoke and return their responses to you.

7.2 Output. As between you and us, you own the output Reina generates for you, to the extent we have rights in it, and subject to the terms of the underlying AI providers. Note that AI output may not be protectable by copyright and may be similar to output generated for others.

7.3 Responsibility. You are responsible for Your Content, including personas you import from third parties, and for how you use output. Importing a persona file you did not create is at your own risk.

8. The personas you write

In short: the App ships no adult content. What you write in the Persona Studio is yours, and you are responsible for it.

The App contains no sexual or adult content. We do not ship, host, distribute or generate it.

The Persona Studio lets you write the words a character uses. Those words are stored on your own machine, are never uploaded to us, and are Your Content under Section 7: they must comply with applicable law and, where a character's words are processed through cloud features, with the terms of the AI providers involved. Some providers restrict what may be generated on their models, and those restrictions apply to you whether or not we repeat them here.

You confirmed you are 18 or older when you first ran the App (Section 2). The App is for adults throughout.

9. Acceptable use

In short: don't use Reina to break the law or hurt people, and don't attack the Services.

You may not use the App or Services to:

  • violate any law, or infringe others' rights (including privacy, publicity, and intellectual-property rights);
  • harass, defame, threaten, or deceive others, including by presenting Reina's output as a real person's statements;
  • develop or operate a competing service using our Services as backend capacity;
  • probe, overload, or interfere with the Services, other users' use of them, or the metering and licensing systems;
  • use the desktop-assistant features against computers, accounts, or data you do not own or lack permission to control.

Other people on your screen. Vision features send what is captured to an AI provider, and what is captured is whatever is in front of you: another player's chat, a name, a message from someone who is not you and did not agree to any of this. That is your call to make, not ours, so it is your responsibility. Only point Reina at things you are entitled to share, get permission where the people around you would expect to be asked, and follow the recording and privacy laws where you live. Turn vision off when you cannot. Section 2.2 of the Privacy Policy describes what is captured and what is masked.

9.1 What you may not create

Reina lets you write a persona and import a character. The following are prohibited in any persona, character, name, artwork, or other content you create, import, or share, whether or not it is ever sent to our Services:

  • Minors in sexual contexts. Any depiction or description that sexualizes a minor, or a character presented as a minor, in any form, including text, images, and audio. No framing, fiction, or claimed age excuses this.
  • Real people, without their consent. A persona built to represent an identifiable real person, living or dead, including public figures, in a sexual, defamatory, or deceptive context. This covers synthetic likeness and voice: deepfakes, face swaps, and voice cloning.
  • Impersonation. Presenting a persona as an official account, employee, or representative of a real person, company, or organization.
  • Content that is illegal where you are, or that promotes, or gives instructions for, terrorism, mass violence, or serious harm to others.

Breach of this section ends your license immediately and permanently, without refund.

We should be straight about how this is enforced, because the honest answer shapes what the rule means. Personas are written and stored on your own machine. We do not host them, review them, or distribute them, and there is no marketplace or shared library through which we could. So this is a rule you keep rather than one we police for you. Where a breach does come to our attention, whether through our providers, a report, or a legal request, we act on it.

10. The desktop assistant controls your computer

In short: if you tell Reina to do things on your PC, they really happen. Supervise the work.

Assistant features can, at your direction, take actions on your computer: moving the mouse, typing, opening applications, reading the screen and the clipboard, reading and writing files, running commands, browsing the web, and changing the App's own settings. These actions run with your user account's permissions. You are responsible for the instructions you give and for supervising the result. Do not rely on the assistant unattended for actions that could cause loss if performed incorrectly. Section 14's limitations apply to actions the App performs at your direction.

The switches Reina cannot turn on. That list includes changing the App's own settings, which is useful and is also a hole, because some of those settings are what protect you from the assistant. So Reina cannot move them the dangerous way. Reina cannot turn on seeing Discord or hearing Discord, and cannot lower the screen shield. Screen control, file access and web search Reina cannot change at all, in either direction. A switch can always be moved the safe way, and Reina will do that if you ask. Turning one on is done by you, on the Settings page, with your own hand. This matters because Reina reads screens, web pages and other people's messages, and any of those can contain a sentence telling the assistant to turn one on.

Software Reina installs for you. Some features need a program that is not part of the App. Where that is true, Reina installs it for you rather than leaving you a list of things to go and fetch. Four things bound this, and they are the whole of it:

  • Reina can only install from a short list that ships inside the App. That list is fixed in the App's own code. Nothing can add to it while the App is running: not you, not a skill, not a web page, not a message, and not anything written on a screen Reina is reading. If something tells Reina to install a program, that is not a reason to install it, and the answer is no. New entries arrive only in an App update, which you can read before taking.
  • It comes from the publisher, and the download is verified. Reina asks Windows Package Manager for the program by name; it checks the publisher's signed entry and the download's hash before anything runs. That is the only route this feature has: the App contains no code that fetches an installer from anywhere else, and if Windows Package Manager is not available on your PC it refuses rather than falling back to another source. That bounds the installing feature. It is not a promise about the general controls described at the top of this section - if you tell Reina to download and run something directly, Reina can, and supervising that is yours.
  • The program is yours, not ours. We do not supply, licence, host or modify it, and nothing in these Terms grants you any rights in it. Your use of it is governed by that publisher's own terms, and it stays on your machine if you remove Reina. Removing it is done the way you remove any program.
  • You can switch it off. "Install what Reina needs" is on the Settings page. Turned off, nothing is installed and Reina says so when something required is missing. Reina cannot turn it on, in line with the switches described above.

Work and school computers. If your PC is joined to an organization's domain or directory, or an administrator has switched Windows Package Manager off, Reina will not install anything unprompted, and will instead say what needs adding and leave the decision with you. This is a courtesy, not a compliance control, and it cannot detect every arrangement. If software on your machine is governed by someone else's policy, that is between you and them: check before you tell Reina to proceed, and turn the setting off if you are not sure.

11. Privacy

Our Privacy Policy describes what stays on your device (most things), what leaves it and why (cloud AI requests, license checks, and purchases), and the choices you have. Reading it is worth two minutes; the short version is that Reina is local-first by design.

12. Suspension and termination

In short: you can stop any time. We can revoke keys for abuse, fraud, or non-payment.

You may stop using the App at any time and may cancel subscriptions as described in Section 5.7.

We may suspend or revoke a license key or access to the Services if: (a) you materially breach these Terms (including Sections 3.2, 3.3, and 9); (b) your payment fails or is charged back; (c) we are required to by law or by a provider or payment partner; or (d) the key shows abuse patterns such as sharing or resale. Where practical, we will warn you and give you a chance to fix the problem first; for serious abuse (including Section 9's child-safety rule) we terminate immediately.

On termination for your breach, your license under Section 3 ends. Sections that by their nature should survive (7, 13–16, 18) survive.

13. Disclaimer of warranties

In short: we work hard on Reina, but the App is provided as-is.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUT WILL BE ACCURATE OR RELIABLE, THAT THE SERVICES WILL BE UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow certain warranty exclusions; where that is the case, the above applies to the fullest extent permitted, and consumers retain their non-waivable statutory rights.

14. Limitation of liability

In short: our liability is capped at what you paid us in the last year.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE APP OR SERVICES; AND (b) OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR FIFTY U.S. DOLLARS (US $50).

NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FOR FRAUD.

15. Indemnification

If a third party brings a claim against us arising from Your Content or your breach of Sections 3, 8, or 9, you agree to indemnify us for the resulting damages, costs, and reasonable attorneys' fees. Nothing in this section applies to the extent the mandatory consumer law of the country you live in does not allow it.

16. Intellectual property

The App, the Services, and the Reina character, including the name, design, artwork, animations, voice, and bundled persona writing, are our intellectual property or that of our licensors, and are protected by copyright and other laws. These Terms grant you only the license in Section 3; all other rights are reserved. Feedback you choose to send us may be used without obligation to you.

17. Changes to the App, Services, and these Terms

We are a small team and Reina evolves quickly. We may modify the App and Services over time. We may also modify these Terms. If a change is material we will tell you, in the App or by email, at least 30 days before it takes effect, and the App will ask you to accept the new version the next time you use it. Until you accept it, the version you agreed to last is the one that governs you. If you do not want to accept, stop using the App and cancel any subscription before the change takes effect; you keep access until the end of the period you have already paid for. Where the law, a court, or one of our AI providers requires a change sooner than that, we may make it sooner, and we will say so when we tell you about it. If we ever discontinue the cloud Services entirely, we will give at least 90 days' notice; the App's local features are designed to keep working regardless.

18. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Denver, Colorado. These Terms contain no arbitration clause and no class-action waiver: disputes go to those courts.

18.2 Time limit on claims. A claim about the App or the Services has to be brought within one year of the day it arose. After that it is too late. This does not apply where the law of the country you live in gives you longer and does not allow that to be shortened by agreement, and it does not apply to the claims Section 14 says we do not limit, including death or personal injury caused by negligence, and fraud.

Nothing in this section deprives you of mandatory consumer protections of the country in which you reside.

19. Miscellaneous

  • Entire agreement. These Terms, the pricing page, and the Privacy Policy are the entire agreement between us regarding the App and Services.
  • Severability. If a provision is held unenforceable, the rest remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of the product; your rights under them are preserved in any assignment.
  • Export. You may not use the App in violation of applicable export controls or sanctions.
  • Third-party notices. The App includes open-source components; their notices are available in the App's about screen.
